REGISTRATION OF INVESTMENTS
  

Registration is a three to six-step process. Depending on the circumstances, an investor must register with the:

  • Securities and Exchange Commission (SEC) for associations and corporations
  • Cooperative Development Authority (CDA) for cooperatives
  • Department of Trade and Industry (DTI) for Business Name Registration
  • Board of Investments (BOI) for projects of P5M up
  • Local Government Units (LGUs) for Mayor's permit and license
  • Bureau of Internal Revenue.

When feasible and considered desirable by the Board of Investments, registered enterprises may be required to list their shares of stock in any accredited stock exchange or capital stock to the public and/or their employees.

SEC Registration for Partnership/Corporation & Foreign Investor
  

Registration Requirements

1.     All applications and supporting documents must be in six (6) copies and have cover sheets

2.     Documents signed abroad must be authenticated by the Philippine Embassy or Consulate in the country where signed.

3.     All audited Financial Statements and special audit reports must be certified by an independent Certified Public Accountant (CPA), with Statement of Representation filed with the SEC. Said Statement must indicate the CPA Cert. No., PRC/BOA No. and the PTR No. of the CPA.

4.   All applications must indicate the Tax Identification Number  (TIN) of the signatories. 

FOR CORPORATIONS AND PARTNERSHIP   -    Foreign and domestic corporations and foreign partnerships may apply for registrations with the Securities and Exchange Commission for the Certificate of Authority to engage in business in the country.

Foreign Corporations

1.    Name Verification slip

2.   Certified copy of Board Resolution authorizing establishment of an office in the Philippines; designating the resident agent to whom summons and other legal processes may be served in behalf of the  foreign corporations; and stipulating that in the absence of such agent or upon cessation of its business in the Philippines, the SEC shall receive any summons or legal processes as if the same is made upon the corporation at its home office.

3.    Finacial Statements foir the immediate preceding year at the time of filing of the application, certified by an independent Certified Public Accountant of its origin.

4.    Certified copies of the Articles of Incorporation/Partnership with an English translation thereof if in a foreign language.

5.    Proof of Inward Remittance

6.    Foreign Company Information Sheet

If applicable, clearance from other involved agencies, DOST, DND.

CDA Registration for Cooperative & Local Investor
  

Legal basis - Republic Act No. 6938

 Registration Requirements:

1.       Simplified Economy Survey

5.       Fidelity Bond-Treasurer’s Bond

Coverage-Total amount of Paid-up Capital + Membership Fees

7.       Certification signed by the Chairman as to the Availability of a Core Management Team (Manager, Treasurer, Bookkeeper)

8.       Articles of Cooperation duly notarized and signed by all cooperator in all pages of the document (left or right side portion)

10.   Affidavit of Non-Relationship

11.   By-Laws

12.   Certification that an Internal Control System has been installed.

13.   Registration Fee-1/10 of 1% of the Authorized Capital or minimum of P500.00 (whichever is higher) in Postal Money Order payable to THE TREASURY OF THE PHILIPPINES, Cebu City

14.   Verification slip/request

15.   Undertaking to comply reportorial requirements.

16.   Undertaking to change name

17.   Verification Fee – P50.00

DTI Registration for Single Proprietorship , Local & Foreign Investor
  

Legal Basis   Act 3883 as amended   

Registration Requirements

For Single Proprietorship

  1. Applicant must be a Filipino citizen, 18 (per R.A. 6809) years of age or over, with 2 copies of his/her latest passport size photo.
  2. Application must be signed pesonally by the applicant otherwise a special power of attorney is required.
  3. Submission of one(1) preferred business name and three (3) alternative business names when true name is not used for Business Name.
  4. Latest Franchise Agreement for Franchise Holders.
  5. If family name is suggestive of alien nationality, submit proof of citizenship, Ex. PRC ID, Birth Certificate or Voter's ID.
  6. Registration Fee - P300.00

Partnership/Corporation
    
 Partnership and corporations and other judicial entities should submit the following documents. (For original and Renewal Application.)

  1. One (1) set of SEC Registration  Certificate, Articles of By  Laws of the Corporation.
  2. One (1) copy of Board Resolution or Secretary's Certificate designating authorized representative to sign in behalf of corporation.
  3. Submission of one(1) preferred business name and three (3) alternative business names when true name is not used for Business Name.
  4. Registration Fee - 500.00

Alien Retailers (RA 1180)
    Aside from the aforecited basic requirements, submit the following:

  1. Alien Certificate of Registration (machine copies including the reverse side)
  2. Latest permit to engage in retail business per R.A. 1180.

Foreign Investors: SINGLE PROPRIETORSHIP

        1.   The applicant must be of majority age (18 years or over)

2.    He must submit two (2) passport size pictures of himself taken not more than one (1) year preceding the filing of such application

3.     If an alien, he must submit the following:

a)       Accomplished DTI Form No. 17 under R.A. 7042

b)       A written appointment of Filipino resident agent

c)       Authority to verify bank accounts/bank certificate of   deposit

d)       Proof of inward remittance of foreign currency for non-resident alien

e)       Copy of evaluation report from Central Bank if investment includes     assets other than foreign exchange

f)         Clearance from other involved agencies such as DOST, PNP, etc. (If applicable)

Foreign Investors: CORPORATION/PARTNERSHIP

      Certificate of authority to engage in business in the Philippines under R.A. 7042 (Foreign Investment Act) issued by the Securities and Exchange Commission (SEC).

Cooperatives

    To be registered first with the Cooperatives Development Authority (CDA), and requirements are the same as with Partnership/Corporation

BOI Registration for Project Cost exceeding 4 M
  

Legal Basis   Omnibus Investment Code of 1987
   Executive Order No. 226

Requirements

     I.  OFFICIAL FILING FOR NEW PROJECT

A. An application is considered officially filed upon submission of the complete set of documents (prescribed application form duly accomplished, project report  and such other documents which may be required and upon payment of the required filing fee).

B. Required number of copies

1. For enterprises wishing to register with the Board of Investment.

      i.  Two(2) copies of BOI Application Form No. 501
ii.  Two(2) copies of project reports and supporting documents

            2.  For existing enterprises covered by rationalization, rehabilitation and/or modernization programs: application requirement is to be determined on a sector  by sector basis at the time of implementing each program.

II.  FEES

1.  Filing Fees for Application for Registration

 a)  Book I

      1.  Project cost not exceeding P4million - P 1,500.00

      2.  Project cost exceeding P4 million but not over P20 million - P 3,000.00

      3.  Project costs exceeding P20 million but not over P50 million - P 4,500.00

      4.  Project costs exceeding P50 million - P 6,000.00

        2. Fee for Certificate of Registration ................1/10 of 1% of project cost but not less than P 3,000.00 and Not to exceed to P 15,000.00

PROCEDURES FOR THE ISSUANCE OF CERTIFICATE OF REGISTRATION UNDER BOOK 1 OF E.O.226

1.  Official filing of a duly accomplished BOI Form No. 501 complete with supporting documents and payment of filing fee;

2.  Evaluation of application and preparation of an evaluation report (including Publication of Notice of Filing of Application, referral to the private sector and plant visit, if necessary);

3.  Presentation to the BOI Management Committee;

4.  Confirmation by the BOI Executive Board;

5.  Preparation of letter advising applicant of the Board Action

    5.1  If approved, Industry Group prepares a letter of approval including pre-registration requirements;

    5.2  If denied, Industry Group sends denial letter;

6.  If applicant requests for waiver on pre-registration requirements:

     6.1  Industry Group prepares memorandum to the Board

     6.2  Board Confirmation

           6.2.1  If request is given due course, step no.8 takes         place;

           6.2.2  If request is denied, step no. 7 takes place;

7.  Applicant complies with the pre-registration requirements;

8.  Preparation and issuance of Certificate of Registration upon payment by applicant of Registration Fee;

9.  Release of Certificate of Registration.

CITY / MUNICIPALITY Permits for Less than 4M Investment
  

MAYOR'S PERMIT FOR NEW BUSINESS

   Requirements:

      1. Community Tax Clearance  - currently issued from the City Treasurer’s Office Tagbilaran      (original copy and 1 xerox copy only)

2. Barangay Clearance - from the Barangay where business establishment or activity is located

3. Tax Clearance - from the City Treasurer’s Office showing that the operator has paid all taxes obligations in the city.

4. PIN - from the City Assessor’s Office

5. DTI Registration

6. Affidavit of Capital

 Other Requirements (Case to Case Basis): 

1. SEC Registration & By Laws (photocopy)- for Corporations and Partnerships

2. CDA Registration & By Laws (photocopy) – for Cooperative

3. License to operate from BFAD, CAMP CRAME, DECS, TESDA, DENR (ECC), DOT & ETC.

4. Lease Contract- all vendors at the City Public Markets (Cogon, Manga, Fish Port Terminal, City Central Market and Integrated Bus Terminal) - all who are just renting spaces for their business

5. Photocopy of the Mayor's Permit "Real Estate Lessor" from the owner of the building or lot rented– for those business permit applicants who are renting/leasing a space, building or land not own by the applicants.

6. Photocopy of the Certificate of Occupancy - from the City Engineer’s Office, if building is newly constructed or renovated.

Requirements for Employees of Business Establishment to be registered.

  1. Barangay Clearance where business establishment is located
  2. Community Tax from Tagbilaran City (xerox copy only)
  3. Police Clearance from Tagbilaran City
  4. Health Certificate from the City Health Office

 

RENEWAL OF BUSINESS PERMIT

       Requirements:

  1. Previous Mayor's Permit
  2. Barangay Clearance-from the barangay where business establishment or activity is located
  3. Community Tax Certificate - currently issued from the City Treasurer’s Office Tagbilaran (xerox copy only)
  4. Tax Clearance - from the City Treasurer’s Office showing that the operator has paid all tax obligations in the city
  5. SSS Certification - from SSS Office, Tagbilaran City SSS Coverage
  6. Tax Identification Number (TIN)

Other Requirements (Case to Case Basis):

1. Lease Contract -all vendors at the City Public Market (Cogon, Manga, Fish Port   Terminal, City Central Market and Integrated Bus Terminal)

1. Barangay Clearance

a.    Clearance from the Barangay where the project will be located (5 copies)      

 2. Special Power of Attorney:

a.    In case of authorized representative processing the permit (3 copies)

 3. Locational Clearance:

a.   Duly notarized Locational Clearance Application (2 copies)

b.   In case the applicant is the registered owner of the lot:

1. Certified true copy of TCT (5 copies)

2. Tax Declaration (5 copies)

3. Current Real Property Tax Receipts (5 copies)

c.    In case the applicant is not the registered owner of the lot:

1. Requirements b1 to b3

2. Duly notarized copy of the Contract of Lease (5 copies) or

3. Duly notarized copy of the Deed of Absolute Sale (5 copies) or

4. Duly notarized copy of the Contract of Sale (5 copies) or

5. Affidavit of Consent from the Registered Owner (5 copies) or

6. Affidavit of  Consent from all the registered heirs (5 copies)

 4. Location Plan ( from the Assessor’s Office) (3) copies

 5. ECC (ENVIRONMENTAL CLEARANCE CERTIFICATE):

a.    For projects required under DENR regulations (5 copies)

 6. ATO (AIR TRANSPORTATION OFFICE) CLEARANCE

a.       For projects required under Rule XVII, (Construction of Buildings/Structures within Approach/Departure Zones of Runways of Airports) and Rulr XVIII, (Maximum Height of Buildings/Structures), (PD 1096). (5 copies)

 7. Affidavit of Setback:

a.    Indicating the minimum specific setback distance from the center lane of the road. (5 copies)

  8. Regular Documents:

a.    Completely filled up five (5)(sets) of Building Permit Applications, signed and sealed by a duly licensed architect or civil engineer.

b.    Completely filled up five (5)(sets) of Sanitary and Plumbing Permit applications, signed and sealed by a duly licensed sanitary engineer or master plumber

c.    Completely filled up five (5)(sets) of Electrical Permit applications, signed and sealed by a duly licensed professional electrical engineer.

d.    Completely filled up five (5)(sets) of Mechanical Permit applications (when required), signed and sealed by a duly licensed professional Mechanical Engineer

e.    Five (5) sets of Plans, Bill of Materials and Specifications, signed and sealed by a duly licensed professional of his/her specific field.

f.     Three (3) sets of FIRE AND LIFE SAFETY MASTER PLAN signed and sealed by a duly licensed architect.

   9. Structural Analysis/Computations:(3copies)

a.    For buildings/structures 2 storey and above, signed and sealed by a duly licensed structural engineer, architect, or civil engineer.

10.  Photo Copy of unexpired PRC ID and the Current
       Professional  Tax Receipt
of the duly licensed
       professional of their specific fields. (2 copies)

Procedure:

  1. Secure Form No. 1556-A at the RRU, BIR
  2. Complete all the requirements
  3. Submit all the requirements & forms in triplicate before the start of the business
  4. Follow up applicationi after 5 working days
  5. Fill up Form No.1558 in triplicate copies if approved
  6. Payment of Annual Registration Fee at accredited bank or authorized Municipal Treasurer.
  7. Receive duplicate copy of validated Annual Registratioin Fee Return or Official Receipt
  8. Register book of accounts, sales invoices, official receipts, inventories
  9. Display original copies of Certificate of Registration.

  1. Six (6) copies of Survey plans duly signed bu the applicant and approved by CENRO concerned, also signed and sealed b\y a Registered Geodetic Engineer
  2. Six (6) copies of Topographic Map, Scale-1: 10,000
  3. Six (6) copies of Project Description signed by the preparer, endorsed by the project proponent, and duly notarized
  4. Six (6) copies of land use map
  5. Six (6) copies of documentation of the area with picture
  6. Six (6) copies of endorsement from the LGU where the project is located
  7. Six (6) copies of CENRO certification that the area applied for is free from conflict. (if  not titled)
  8. Impact Management Plan
  9. Environmental Monitoring Plan of the proponent
  10. PMAPS (downloadable at www.emb.gov.ph)
  11. Zoning Clearance/variants
  12. Vicinity/Location Map

 

Procedure  

        1. Submission of all requirements to DENR Environmental Management Bureau (EMB) Bohol, then DENR will be the one to submit all the requirements to the DENR Regional Office.

Requirements for Pollution Clearance  

1.       Locational Clearance from Housing Land Use & Regularatory Board or Certification from the local government that the plant site does not violate local government ordinance

2.       Vicinity map or location map

3.       List of equipment/machineries including complete specifications

4.       Project description and Flow Sheet of manufacturing process

5.       Letter of request for clearance indicating the agency requirement applicant to secure said clearance and for what purpose

6.       Clearance Fee
